1. Payment terms:  Net 30 on approved credit. Without an open account, the factory will require 50% down, balance at shipment.

2. Shipping and lead-time estimates: ALL shipping and delivery lead-times are estimated. Customers, who have time critical requirements, should place orders early to prevent projects delays. Under no circumstances will Legacy Chiller Systems be held responsible for site production delays or overages, either directly or indirectly, related to shipment delays

3. Change orders: Request for changes after order has been placed MAY result in shipment delays and additional related costs. PLEASE READ ALL ORDER CONFIRMATIONS CAREFULLY. IF AN ERROR HAS BEEN MADE, PLEASE NOTIFY YOUR SALES REPRESENTATIVE IMMEDIATELY.

4. Ship-to Location: Legacy Chiller Systems requires a valid physical address a minimum of 3 weeks PRIOR to the estimated ship date indicated on the Factory Order Confirmation.  If a valid Ship-to address is not provided, the potential exists for delays in production. If Legacy Chiller Systems, at our sole discretion, chooses to complete production of and order and the order cannot be shipped by way of a Ship-to address not being provided, Legacy Chiller Systems reserves the right to assess storage fees of $35 per day.  Fees will apply effective the date order is ready for shipment.

5. Product changes: Due to our constant efforts to improve various product lines, changes in options and general specifications such as, but not limited to, color, dimensions, locations of access panels, electrical connection points, process water connection points and refrigeration connection points are subject to change without notice.  If a project requires confirmation of the finished equipment specifications, it is the customer's responsibility to request, "as built" engineering drawings from your authorized Legacy Sales Engineer or reseller.  Should such product changes add to the customers or end users cost of installation or on going service, Legacy Chiller Systems, Inc will not be responsible for any such direct or indirect costs.

6. Permitting:  According to building code standards, all works of improvement require compliance to local building codes.  Since each municipality can interpret building standards differently, it will not be possible to estimate the specific requirements of your particular municipality for the installation of your new equipment.

7. Engineering Liability:  In order for any process chiller application to work properly, the supporting piping system and coolant medium must be properly designed and maintained.  Failure to do so may result a variety of operation problems and even system failures. During the installation of your Legacy Chiller, our engineering staff will provide as much telephone technical assistance as possible to help ensure a successful installation. With reference to this support, customers are hereby advised that Legacy Chiller Systems (USA) shall provide NO warranty or accept any liability (expressed or implied) on ANY workmanship, engineering or advice provided by Legacy Chiller Systems (USA), or its vendors, that the customer has not specifically been charged for.

8. Startup: Field startup of any process cooling system can be challenging if personnel lack specific field experience.  Legacy Chiller Systems USA highly recommends investing in our factory startup program.  Our experienced field engineers can provide valuable information at the time of startup than can help prevent startup related problems. Please keep in mind that quoted factory startup costs DO NOT include transportation expenses.

9. Order cancellations: All Legacy Chiller Systems are custom applications. Since construction costs are substantial on each system, all deposits are non refundable.  Should a customer, for what ever reason, need to cancel their order, Legacy Chiller Systems USA will in good faith attempt to find a buyer for said equipment on your behalf.  If and when a customer is found, Legacy Chiller Systems USA will refund the original deposit (less 10%).

10.Pump sizing: If a main system circulation pump has been included in this proposal.  It is recommended the installing party review all factory order confirmation information and support documents upon receipt. It is the responsibility of the installing party to confirm that the performance of the chillers system pump (if so equipped) meets the requirements of the process being cooled by the chiller.  If a pump change is required, Legacy Chiller Systems, Inc. must be notified no less than fifteen working days prior to the estimated ship date indicated above. Additional cost for the pump upgrade will apply. If the installing party fails to notify Legacy Chiller Systems, Inc. within the fifteen-day window (as indicated above), additional labor charges as well as delayed shipment may occur.  Should a pump change or modification be required after the equipment has completed testing on the line, a restocking fee will apply provided that the pump is returned, freight prepaid, and in good condition. Improper field installation of a pump may result in a voided warranty.

11. Shipments: Legacy Chiller Systems USA encourages customers to contract with their own freight carrier on all US and international shipments. If requested, the Legacy Chiller Systems USA will arrange shipment with its contract carrier but cannot guarantee price competitiveness.  If the customer or freight forwarder requires special packaging of the equipment, Legacy Chiller Systems USA must be notified at least two weeks prior to the ship date as indicated on the Order Confirmation. In most cases, such special packaging will need to be performed at an additional cost.  All International and Domestic accounts MUST be paid in full prior to shipment of equipment.

12. Shipment costs with respect to proposals: Unless specifically stated in the pricing above, freight costs for this equipment are NOT included.  The factory will provide standard wood crating as part of this proposal.

13. Damages Freight: The consignee (buyer) is responsible for filing all freight claims with the delivering carrier. Damages in shipment, for whatever reason, are not considered the responsibility of the factory. A completed inspection should always be made immediately at the time of delivery for any viable signs of mishandling by the carrier. Damages MUST be noted on the delivery receipt prior to driver leaving and an inspection by the freight company's adjuster should be requested immediately.  All packaging must be retained for review by the claims adjuster or the claim may be denied.  FAILURE TO DOCUMENT FREIGHT DAMAGE AT THE TIME OF DELIVERY WILL, IN MOST CASES, FORFEIT RIGHTS TO FILE AND COLLECT FOR FREIGHT DAMAGES.

14. Returned goods: All returned goods must be authorized by the factory in advance by requesting an RMA number from Legacy Chiller Systems USA.  All items must be properly packaged and sent freight prepaid. You must include a packing slip with the RMA number, also noting it on the outside of the package or box.  Items returned that are inspected and found to be "OK" will be subject to a 25% restocking charge.

15. Order cancellations: If the heading of this order contains an indication of  "Special OEM design application" or a variation there of, cancellation of such orders TEN CALENDAR DAYS or more following the issuance above "Order Posted" date a restocking fee of 25% will be charged. Buyer hereby agrees to pay Legacy Chiller Systems, Inc said restocking fee within Net 30 day terms from the date indicated on the restocking fee invoice.

16. In warranty service parts: In warranty service parts will be invoiced pending the receipt of replacement part previously authorized for return. After inspection of the part at the factory, credit will be issued against the replacement part, less freight, providing that the part was free from abuse or misuse.

17. Warranties: Legacy Chiller Systems (USA) will provide a one-year limited warranty on all equipment.  Details on coverage are provided in the owner's manual shipped with each system.  A preview of the Legacy Chiller limited warranty is available upon request.  Warranty policies and procedures are subject to change at any time without notice. In cases where specific warranty repair services fall under a factory labor allowance, the customer or service provider MUST call the factory for work authorization and a PO number BEFORE repair service on said chiller begins. Labor invoices submitted to Legacy Chiller Systems that do not provide a valid PO number will be returned unpaid. If during the course of a warranty repair, additional time is needed to complete a repair that has been previously approved by Legacy Chiller Systems, and additional authorization for extended work must be approved BEFORE said extended work on said chiller begins. Labor invoices submitted to Legacy Chiller Systems must match the number of hours authorized on the PO. In the event that the billed hours exceed PO hours, the invoice will be returned unpaid.

18. Tariffs and local sales taxes: This proposal has not considered any applicable country tariffs, state sales taxes or local county taxes that may apply to this transaction.

19. Code requirements and governmental regulations: ALL Legacy Chiller Systems meet or exceed ETL design and construction requirements. Equipment produced and sold by Legacy Chiller Systems shall display the ETL certification mark. Legacy Chiller Systems does not guarantee compliance outside ETL design certifications. Legacy Chiller Systems recommends using only qualified system designers and installers who are familiar with all codes. It is the responsibility of the installing parties to confirm that the Legacy Chiller Systems equipment, electrical, plumbing and all other support apparatus meets or exceeds all Federal, State, Local and all other Governmental code requirements.
